Acceptance

By creating an account, or by using Relynked Business or Remy on behalf of a business, that business accepts these terms. If someone is accepting on behalf of a business, they are confirming they have the authority to do so.

The services

Relynked Ltd (RC 9837720) operates two products. Relynked Business is the operations and measurement system a venue runs day to day. Remy is the WhatsApp assistant that answers customer messages and, when directed by an owner, carries out specific authorised actions inside a business's own account.

Accounts

A business owner is responsible for the staff accounts created under their business, and for making sure the information attached to those accounts is accurate. Login credentials should not be shared between staff members, since Relynked Business ties a given action, a price change, a stock adjustment, a reconciliation note, back to the account that made it, and a shared login breaks that trail. An owner is responsible for what happens under an account until they remove it or report it compromised.

Owner accounts

• Can create and remove staff accounts, assign roles, and use Ask Remy to direct changes across the business.
• Are the account Relynked contacts for billing, policy updates, and account-level decisions.

Staff accounts

• Are scoped to the role and venue an owner assigns them.
• Cannot grant themselves a wider role or create further accounts.

Acceptable use

The service may not be used for anything unlawful, to send unsolicited bulk messages, or in a way that breaches WhatsApp's own Business Messaging Policy, since Remy operates a business's WhatsApp connection on its behalf and that connection depends on staying within those rules. A business is responsible for making sure it only messages customers who have messaged it first or have otherwise given consent to be contacted. A business also agrees not to use Ask Remy to attempt an action it does not have the authority to make, and not to attempt to access another business's data through the platform.

Fees and billing

Current plans and pricing are listed on the pricing page. Fees are billed as described at signup for the plan a business chooses, in Nigerian naira unless stated otherwise, and a business will be told in advance of any change before it takes effect on their account. Suspending an account for non-payment does not remove a business's data, which is retained for the period described in the Privacy Policy in case the account is reinstated.

Subscriptions, missed payments and price changes

Billing

• Relynked is paid for by subscription, monthly, quarterly or yearly, at the prices on the pricing page. A quarterly plan costs 5% less than 3 months of the monthly price, and a yearly plan costs the same as 10 months of the monthly price.
• Each business pays from the Plan screen in the app, on the Paystack checkout page, by card, bank transfer, USSD or bank. Payments are credited to its subscription automatically.
• If a payment goes through twice or is the wrong amount, we send it back to the account it came from within 7 working days.
• A subscription renews at the end of each paid period until it is cancelled.
• Relynked takes no percentage of a business's sales and charges no fee per transaction. Fees charged by a payment company on payments from a business's customers are separate and are charged by that company.

What counts as a customer chat

• A customer chat is one customer's conversation with a business on WhatsApp, in which the customer has sent at least one message. Every message in that conversation, from the customer, from Remy and from the business's staff, belongs to that one chat.
• A conversation stays one chat while the customer keeps writing. If the customer goes quiet for 8 hours and then writes again, that message starts a new chat.
• Messages a business sends on its own, which the customer never answers, do not start a chat. Messages on the business's own app, such as the owner talking to Remy, are not customer chats.
• The plans include up to 500 customer chats a month on Basic and up to 1,000 a month on Standard. Enterprise includes more, as agreed with the business. The allowance starts again every month, including for a business that pays quarterly or yearly.

Missed payments

• We send a reminder 3 days before a subscription renews.
• If payment is not received on the renewal date, the business has 7 days' grace with everything working as normal.
• For the 7 days after that, the service keeps working and we send warnings.
• On day 15 after the renewal date, the WhatsApp assistant pauses until the payment is made. It starts again once payment is received.
• Nothing is deleted because a payment is late.

Price changes

We will give account owners at least 30 days' notice before a price change applies to their account. A change never affects a period that has already been paid for. A business that does not accept a new price can cancel before it takes effect.

Cancelling and refunds

A business can cancel at any time, and its plan stays active until the end of the period already paid for. Refunds are set out in our refund policy, which forms part of these terms.

Data

What is collected, how it is used, and how to control it is set out in the Privacy Policy, which forms part of this agreement. A business keeps ownership of its own catalogue, transaction, and customer data at all times, we hold it to provide the service, not to claim it as our own.

Ownership

Relynked Ltd owns Relynked Business, Remy, and the software behind both. Nothing in these terms transfers that ownership to a business using the service. A business retains ownership of its own business data, as described above.

Availability

We aim to keep both products available and reliable, and we take reasonable steps toward that, but we do not guarantee uninterrupted access. Planned maintenance and unexpected issues can both cause short periods of downtime.

Termination

A business may stop using the service at any time. We may suspend or close an account that breaches these terms, particularly the acceptable use section, or that puts other businesses' data at risk. Data is handled after termination as described in the Privacy Policy's retention section.

Liability

The service is provided on an as-is basis. To the extent permitted by Nigerian law, Relynked Ltd is not liable for indirect or consequential losses arising from use of the service, and our liability for any claim is limited to the fees paid for the service in the three months before the claim arose.

Governing law

These terms are governed by the laws of the Federal Republic of Nigeria.

Changes to these terms

If these terms change, the update appears on this page with a new effective date above. Continuing to use the service after a change takes effect means a business accepts the update.
